Government Enforcement

We have extensive experience representing clients in all phases of government investigations and proceedings. We have represented both individuals and institutions in numerous engagements before the U.S. Securities and Exchange Commission, the self-regulatory organizations, state attorneys general, ethics bodies and criminal authorities. Many of these matters were investigated in parallel by both regulatory and criminal enforcement authorities and frequently were associated with separate civil litigations, bankruptcy proceedings or congressional hearings. We are well versed in the strategic decision-making required in these complex settings.

Civil Litigation and Arbitration

We have broad litigation experience in federal and state court proceedings, including in contract and partnership disputes, preliminary injunction proceedings, cases alleging securities fraud and civil RICO violations, actions asserting breach of director duties and the fiduciary duties of agents and employees and litigation brought by bankruptcy trustees. We have represented clients in class action and derivative litigation, including in cases arising from government investigations and corporate internal investigations, and been engaged in arbitration matters in the financial industry and in separation disputes between corporations and key executives.

Investigations

The firm's lawyers have a wealth of experience in the conduct of investigations and the representation of clients in such matters. In private practice, we have conducted independent investigations for audit and other committees of corporate boards and represented numerous individuals, including board members, corporate officers and lawyers, in such investigations.

Appeals

We have been counsel in dozens of appeals, concerning among others, principles of constitutional law, criminal and trial procedure, criminal sentencing, the interpretation of the money laundering and forfeiture statutes, the law of securities fraud including in the insider trading context, the standards governing director duties under state law, the legal standard of insolvency, the law applicable to contempt-of-judgment proceedings, attorney client privilege, attorney sanctions, antitrust pleading requirements and the anti-terrorism laws.

Compliance and Governance

In sensitive internal inquiries for both public and private institutions, we have conducted reviews of a wide variety of historic and ongoing business, trading and other practices and rendered advice concerning reforms and best practices.
